Organiser Terms of Service

 

1. Definitions

In these Terms:

Campaign means an event listing published on the Platform that is seeking to achieve a Ticket Goal before becoming a confirmed Event.

Confirmed Event or Event means a Campaign that has achieved its Ticket Goal and has been confirmed in accordance with the Platform’s demand-validation model.

Gig means a Campaign or Event listed on the Platform.

Organiser means an individual, company, organisation or other entity that creates, manages, promotes or operates Campaigns or Events through the Platform.

Organiser Account means the account used by an Organiser to access organiser functionality on the Platform.

Supporter means a person who books tickets for a Campaign before confirmation.

Ticket Buyer means a person who purchases or is successfully charged for tickets relating to a Confirmed Event.

Ticket Goal means the minimum number of ticket bookings required for a Campaign to become a Confirmed Event.

Platform means the Gigstarters website, applications, services, tools and related systems.

Platform Fees means fees, commissions, charges or other amounts payable by Organisers to Gigstarters in connection with the use of the Platform.

Credit Balance means the internal ledger maintained by Gigstarters for administrative and accounting purposes in relation to an Organiser Account.

Stripe means the third-party payment processing provider used by Gigstarters.

Terms means these Organiser Terms of Service, together with any policies, guidelines or other documents expressly incorporated by reference.

References to “Gigstarters”, “we”, “our” or “us” refer to Gigstarters and its related entities.

References to “you” or “your” refer to the Organiser accepting these Terms.

2. Acceptance of Terms

By creating an Organiser Account, publishing a Campaign, connecting a Stripe account, receiving payouts, or otherwise using organiser functionality on the Platform, you agree to be bound by these Terms.

If you are acting on behalf of a company, organisation or other entity, you represent and warrant that:

  • you have the authority to bind that entity to these Terms;
  • you are authorised to create and operate the Organiser Account on its behalf; and
  • all information provided to Gigstarters is accurate and complete.

If you do not have such authority, you must not create an Organiser Account or use organiser functionality on behalf of that entity.

Gigstarters may require additional verification, documentation or information before granting or maintaining organiser access.

3. Role of Gigstarters

Gigstarters provides a technology platform that enables Organisers to create Campaigns, validate demand, manage ticket sales and operate Events.

Gigstarters is not the organiser, promoter, venue operator, performer, supplier, employer, contractor or producer of any Event unless expressly stated otherwise.

You acknowledge and agree that:

  • you are solely responsible for organising, promoting, operating and delivering your Campaigns and Events;
  • you are solely responsible for all Event-related decisions, actions and obligations;
  • Gigstarters does not guarantee that a Campaign will become a Confirmed Event;
  • Gigstarters does not guarantee attendance levels, ticket sales or commercial success; and
  • Gigstarters does not assume responsibility for the quality, safety, legality or suitability of your Event.

Nothing in these Terms creates a partnership, joint venture, agency, employment, fiduciary or similar relationship between Gigstarters and any Organiser.

Gigstarters reserves the right to establish, modify and enforce Platform rules, policies, operational requirements and compliance standards from time to time.

4. Eligibility and Organiser Accounts

You must be at least eighteen (18) years old and legally capable of entering into binding agreements in order to create an Organiser Account.

You agree to provide accurate, complete and current information when creating and maintaining your Organiser Account.

You are responsible for maintaining the confidentiality and security of your Organiser Account credentials and for all activities carried out through your Organiser Account.

You must promptly notify Gigstarters of any unauthorised access, security breach or suspected misuse of your Organiser Account.

Gigstarters may require identity verification, business verification, supporting documentation or other information at any time.

Failure to provide requested information may result in suspension, restriction, delayed publication, payout delays or termination of organiser privileges.

Where an Organiser Account is created or operated on behalf of a company, partnership, association or other entity, the individual creating or operating the account represents and warrants that they possess full authority to bind that entity.

Gigstarters may rely upon such authority.

Where that representation proves inaccurate, misleading or unauthorised, the individual making the representation may be held personally responsible for obligations arising under these Terms.

Gigstarters may refuse, suspend, restrict or terminate Organiser Accounts at its discretion where necessary to protect the Platform, Supporters, Ticket Buyers, other users or Gigstarters itself.

5. Campaign Creation and Publication

Gigstarters may review Campaigns before publication and may refuse, suspend, remove, edit, restrict or decline publication of any Campaign at its sole discretion.

You are solely responsible for ensuring that all Campaign information is accurate, complete, lawful and not misleading.

By publishing a Campaign, you represent and warrant that:

  • all information provided is accurate and not misleading;
  • the Event can reasonably be delivered as described;
  • you possess or will obtain all licences, permits, approvals and permissions required to operate the Event;
  • the Event complies with applicable laws and regulations;
  • you have the authority to sell tickets and offer any products, services or add-ons described in the Campaign;
  • any venues, performers, speakers, suppliers or partners referenced in the Campaign have been properly authorised where required; and
  • you have the experience, resources, authority and intention necessary to deliver the Event if it becomes confirmed.

Gigstarters may require Campaign changes, additional verification, supporting documentation or other information before permitting publication or continued operation of a Campaign.

Publication of a Campaign does not constitute approval, endorsement or certification by Gigstarters.

Gigstarters reserves the right to suspend, remove or restrict Campaigns at any time where it reasonably believes doing so is necessary to protect users, comply with legal obligations, address safety concerns, investigate complaints, prevent fraud, protect the reputation of the Platform or otherwise safeguard Gigstarters’ legitimate interests.

6. Publishing Campaigns and Events

Organisers may submit Campaigns and Events for publication through the Platform.

Submission of a Campaign or Event does not guarantee publication.

Gigstarters may review, reject, refuse, suspend, remove, modify, restrict or require changes to any Campaign, Event, listing, content or Organiser Account at its sole discretion and without liability.

The Organiser represents and warrants that all information submitted in connection with a Campaign or Event is accurate, complete and not misleading.

The Organiser is solely responsible for ensuring that Campaigns and Events comply with applicable laws, regulations, licensing requirements, venue requirements, contractual obligations and Platform Policies.

Gigstarters may request additional information, documentation, licences, permits, approvals, insurance information or other evidence relating to a Campaign or Event at any time.

Failure to provide requested information may result in publication being refused, delayed, suspended or removed.

Gigstarters does not guarantee that any Campaign will achieve its Ticket Goal, become a confirmed Event or generate any particular level of bookings, revenue, attendance or success.

7. Organiser Obligations and Event Delivery

The Organiser is solely responsible for planning, organising, promoting, managing and delivering all Campaigns and Events published through the Platform.

By publishing a Campaign, the Organiser represents and warrants that it:

  • has the authority to organise and deliver the Event;
  • has obtained or will obtain all necessary licences, permits and approvals;
  • has the resources, personnel and capability necessary to deliver the Event;
  • intends in good faith to fulfil the Event if the Campaign confirms; and
  • will comply with all applicable laws and Platform Policies.

Once a Campaign becomes a confirmed Event, the Organiser assumes an obligation to deliver the Event substantially as described in the applicable listing.

The Organiser represents and warrants that it possesses and will maintain throughout the duration of each Campaign and Event:

  • sufficient authority;
  • sufficient resources;
  • sufficient financial capacity;
  • sufficient operational capability; and
  • a genuine intention

to deliver the Campaign and Event in accordance with these Terms and information presented on the Platform.

The Organiser must not intentionally abandon, fail to deliver or materially misrepresent a confirmed Event.

The Organiser must promptly notify Gigstarters of any circumstance that may affect the Organiser’s ability to deliver an Event.

The Organiser must promptly notify Gigstarters of any material change affecting an Event, including changes relating to date, time, event format, performers, speakers, programme content, or any other matter that may reasonably affect attendee expectations.

Gigstarters may require attendee communications, disclosures, refunds, additional information or other corrective measures before permitting such changes to proceed.

The Organiser must not implement material changes in a manner that is misleading, deceptive or likely to prejudice attendees.

Gigstarters may require additional information, corrective action, attendee communications, refunds or other remedial measures where Gigstarters reasonably believes an Event may not be delivered as advertised.

The Organiser acknowledges that failure to deliver a confirmed Event may result in refunds, chargebacks, financial liability, account suspension, account termination, recovery action and legal proceedings.

The Organiser acknowledges that Gigstarters may determine, in its reasonable discretion, whether an Event has been substantially delivered, materially altered, abandoned, misrepresented or otherwise failed to meet the Organiser’s obligations under these Terms.

Gigstarters’ determination may be relied upon when administering refunds, withholding payouts, applying account restrictions or exercising recovery rights.

Where Gigstarters reasonably determines that an Organiser has failed to deliver a confirmed Event, abandoned an Event, misrepresented an Event or otherwise breached its Event delivery obligations, Gigstarters may take any action it reasonably considers necessary to protect supporters, including refunds, communications, investigations, account restrictions and recovery actions.

The Organiser remains fully responsible for all resulting liabilities, losses, costs and expenses.

7a. Cancellation of Confirmed Events

A confirmed Event represents a commitment by the Organiser to deliver the Event substantially as described on the Platform.

An Organiser must not cancel a confirmed Event without first notifying Gigstarters and obtaining Gigstarters’ approval to proceed with the cancellation process.

Gigstarters may require the Organiser to provide information relating to the proposed cancellation, including the reasons for cancellation, supporting documentation, anticipated attendee impact and any other information reasonably requested by Gigstarters.

The Organiser acknowledges that cancellation of a confirmed Event may result in:

  • supporter refunds;
  • payment processing costs;
  • chargebacks;
  • administrative costs;
  • recovery costs;
  • platform fees;
  • cancellation fees;
  • legal costs; and
  • other liabilities arising from the cancellation.

The Organiser remains solely responsible for all costs, liabilities and obligations arising from the cancellation of a confirmed Event.

Gigstarters may withhold payouts, apply set-off rights, create negative Credit Balances or take other recovery actions in connection with a confirmed Event cancellation.

7b. Failure to Deliver Confirmed Events

The Organiser acknowledges that once an Event has confirmed, the Organiser is expected to take all reasonable steps necessary to deliver the Event.

Where Gigstarters reasonably determines that an Organiser has:

  • failed to deliver a confirmed Event;
  • abandoned a confirmed Event;
  • ceased communications relating to a confirmed Event;
  • become unavailable to attendees;
  • failed to provide access to a confirmed Event;
  • materially misrepresented a confirmed Event; or
  • otherwise failed to fulfil obligations relating to a confirmed Event,

Gigstarters may take any action it reasonably considers necessary to protect supporters, attendees, the Platform or third parties.

Such actions may include:

  • issuing communications;
  • investigating complaints;
  • withholding payouts;
  • creating negative Credit Balances;
  • issuing refunds;
  • recovering costs;
  • suspending Campaigns or Events;
  • terminating Organiser Accounts; and
  • commencing legal recovery proceedings.

The Organiser remains fully liable for all losses, liabilities, claims, refunds, chargebacks, costs, expenses and damages arising from such failure.

7c. Gigstarters Intervention Rights

Gigstarters may intervene in relation to a Campaign, Event or Organiser Account where Gigstarters reasonably believes intervention is necessary to:

  • protect supporters or attendees;
  • address Event delivery concerns;
  • investigate complaints;
  • respond to legal or regulatory obligations;
  • protect the integrity of the Platform;
  • prevent fraud or abuse; or
  • mitigate financial, operational, reputational or safety risks.

Gigstarters may exercise such intervention rights before, during or after a Campaign or Event.

The Organiser acknowledges that Gigstarters may act on information obtained from supporters, attendees, venues, payment processors, regulators, public sources or other third parties when determining whether intervention is appropriate.

Gigstarters shall not be liable for losses arising from reasonable intervention actions taken in good faith.

8. Payments, Fees, Payouts and Financial Adjustments

Gigstarters uses third-party payment providers, including Stripe, to facilitate payment processing and payouts.

The Organiser must maintain a valid and fully verified Stripe account in order to receive payouts.

Gigstarters may charge Platform Fees, service fees, cancellation fees, administrative fees, recovery costs and other charges as described in Platform Policies or otherwise communicated to the Organiser.

Gigstarters may introduce, modify or remove Platform Fees, participation fees, account maintenance fees, minimum activity requirements or other commercial charges from time to time.

Without limitation, Gigstarters may impose fees, restrictions, eligibility requirements or usage conditions on Organiser Accounts that demonstrate low activity levels, repeated unsuccessful Campaigns, repeated Event cancellations, abuse of Platform resources or other usage patterns determined by Gigstarters to be inconsistent with the intended use of the Platform.

Any such fees, requirements or conditions will be communicated through the Platform, updated Policies or other reasonable notice methods before taking effect.

Gigstarters may deduct Platform Fees and other amounts owed by the Organiser before releasing payouts.

The Organiser authorises Gigstarters to recover, deduct or withhold any amount owed by the Organiser from payouts, Credit Balances or other amounts otherwise payable to the Organiser.

Amounts recoverable by Gigstarters may include Platform Fees, refunds, chargebacks, payment processing costs, administrative costs, cancellation costs, investigation costs, legal costs and any other amount arising out of or relating to the Organiser’s use of the Platform.

Payouts are generally released after Event completion but may be delayed, withheld, adjusted or cancelled where Gigstarters reasonably determines that doing so is necessary to:

  • investigate complaints;
  • investigate fraud or suspicious activity;
  • review Event fulfilment;
  • address chargebacks or disputes;
  • process refunds;
  • enforce these Terms;
  • comply with legal or regulatory requirements; or
  • protect supporters, Gigstarters or third parties.

Gigstarters does not guarantee the timing, availability or successful completion of payouts.

Gigstarters may, but is not obligated to, issue refunds, credits, reimbursements or other remedial measures to supporters where Gigstarters reasonably believes such action is necessary to protect supporters, resolve disputes, address Event issues or protect the integrity of the Platform.

Any amounts paid, refunded, credited or incurred by Gigstarters in connection with such action may be recovered from the Organiser.

The Organiser remains responsible for all taxes, duties, levies, reporting obligations and regulatory obligations arising from its activities on the Platform.

9. Organiser Credit Balances and Set-Off Rights

Gigstarters may maintain an internal Credit Balance for each Organiser Account.

The Credit Balance is an internal bookkeeping and accounting tool maintained by Gigstarters for administrative purposes only.

The Credit Balance:

  • is not a bank account;
  • is not an e-wallet;
  • does not represent funds held on trust;
  • does not represent funds held by Stripe; and
  • does not constitute stored value or a deposit account.

The Organiser acknowledges that the Credit Balance may contain positive or negative entries reflecting fees, adjustments, refunds, chargebacks, recoveries, credits, debits and other account activity.

Gigstarters may create negative Credit Balances where amounts become owed by the Organiser.

Gigstarters may offset, deduct, recover or apply any amount owed by the Organiser against:

  • Credit Balances;
  • future payouts;
  • future Events;
  • future Campaigns; and
  • any other amounts payable to the Organiser.

The Organiser remains liable for all outstanding amounts regardless of whether the Organiser Account remains active.

Closure, suspension, termination or abandonment of an Organiser Account does not affect the Organiser’s responsibility for outstanding obligations, liabilities, fees, refunds, chargebacks, recoveries or other amounts owed to Gigstarters.

Gigstarters may continue recovery efforts after account closure or termination.

The Organiser acknowledges that amounts owed to Gigstarters may be recovered from future Campaigns, future Events, future payouts, future Credit Balances or future transactions processed through the Platform, regardless of when the underlying obligation arose.

The Organiser authorises Gigstarters to apply such recoveries without further notice where permitted by applicable law.

10. Platform Rights, Reviews and Enforcement

Gigstarters may investigate any Campaign, Event, Organiser Account, transaction, payout, refund request, complaint or activity occurring on or through the Platform.

Gigstarters may rely upon information obtained from supporters, venues, suppliers, service providers, payment processors, regulators, public sources and other third parties when conducting reviews or investigations.

Gigstarters is not required to disclose the existence, scope, methodology or outcome of any review or investigation.

Gigstarters may suspend, restrict, remove, disable, delist, cancel or terminate any Campaign, Event or Organiser Account where Gigstarters reasonably believes that doing so is necessary to:

  • protect supporters;
  • protect the Platform;
  • investigate complaints;
  • investigate fraud;
  • address safety concerns;
  • enforce Platform Policies;
  • comply with legal obligations; or
  • mitigate financial, operational or reputational risk.

Gigstarters may require Organisers to provide information, documentation, explanations or evidence relating to any Campaign or Event.

Failure to cooperate with a review may result in suspension, removal, withholding of payouts, termination or other enforcement action.

Gigstarters may communicate directly with supporters regarding Campaigns, Events, refunds, cancellations, complaints, investigations and operational matters where Gigstarters considers such communications necessary.

Gigstarters may take precautionary action before completing an investigation where Gigstarters reasonably believes that delay could expose supporters, the Platform or third parties to financial, operational, reputational, legal or safety risks.

Such actions may include suspension of Campaigns, Events, payouts or Organiser Accounts.

The rights contained in this section are in addition to any other rights available to Gigstarters under these Terms, Platform Policies or applicable law.

11. Promotional Licence

The Organiser grants Gigstarters a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, reproduce, display, publish, distribute, adapt, modify, crop, resize, translate and otherwise exploit

Campaigns, Events, listings, descriptions, photographs, videos, logos, trademarks, names and other content submitted to the Platform.

This licence may be exercised for purposes including:

  • operating the Platform;
  • promoting Campaigns and Events;
  • advertising and marketing Gigstarters;
  • social media content;
  • newsletters;
  • category pages;
  • search results;
  • editorial features;
  • press and media activities; and
  • other legitimate business purposes.

The Organiser represents and warrants that it possesses all rights necessary to grant this licence.

The licence survives the removal, completion, cancellation or expiration of a Campaign or Event to the extent reasonably necessary for archival, historical, operational, legal or promotional purposes.

12. Platform Circumvention

Organisers must not use the Platform to identify, solicit, redirect or transact with supporters outside the Platform for the purpose of avoiding Platform Fees, payment processing, Campaign requirements or other Platform mechanisms.

Without limitation, Organisers must not:

  • encourage supporters to complete purchases outside the Platform;
  • collect payments outside the Platform for substantially the same Campaign or Event promoted through the Platform;
  • redirect supporters to alternative ticketing systems for the purpose of avoiding Platform Fees;
  • use supporter information obtained through the Platform to circumvent Gigstarters’ commercial model; or
  • otherwise interfere with or bypass the Platform’s transaction processes.

Gigstarters may investigate suspected circumvention and may suspend Campaigns, Events, payouts or Organiser Accounts while such investigations are conducted.

Where Gigstarters reasonably determines that circumvention has occurred, Gigstarters may recover lost fees, apply account restrictions, withhold payouts, terminate access to the Platform or pursue other remedies available under these Terms or applicable law.

13. Intellectual Property

The Organiser retains ownership of intellectual property rights in content lawfully submitted to the Platform.

Except as expressly provided in these Terms, nothing in these Terms transfers ownership of intellectual property rights between the parties.

The Organiser represents and warrants that it possesses all rights, permissions, licences and consents necessary to publish, display, reproduce and use any content submitted to the Platform.

The Organiser must not upload, publish or use content that:

  • infringes intellectual property rights;
  • violates privacy rights;
  • breaches confidentiality obligations;
  • violates applicable laws; or
  • exposes Gigstarters to legal liability.

Gigstarters may remove, disable or restrict access to any content that it reasonably believes may infringe rights, violate laws or expose the Platform to risk.

The Organiser remains solely responsible for all content submitted to the Platform and for any consequences arising from its publication or use.

Nothing in these Terms obligates Gigstarters to monitor, verify or review content submitted by Organisers.

14. Indemnities

The Organiser shall indemnify, defend and hold harmless Gigstarters, its affiliates, directors, officers, employees, contractors, agents and service providers from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, penalties, fines, costs and expenses (including legal fees on a full indemnity basis) arising out of or relating to:

  • any Campaign or Event published by the Organiser;
  • the Organiser’s breach of these Terms;
  • violation of any law, regulation or governmental requirement;
  • personal injury, death or property damage relating to an Event;
  • intellectual property infringement claims;
  • misleading, inaccurate or fraudulent information;
  • Event cancellations, postponements or delivery failures;
  • refunds, disputes or chargebacks;
  • licences, permits or regulatory approvals;
  • employment, contractor or supplier disputes;
  • the Organiser’s negligence, misconduct or wilful acts; or
  • any claim brought by supporters, attendees, venues, suppliers, regulators or other third parties relating to the Organiser’s activities.

Without limiting the foregoing, the Organiser shall reimburse Gigstarters for any refunds, credits, goodwill payments, reimbursement amounts, settlement amounts, chargebacks, penalties, administrative costs, payment processing costs, investigation costs or other amounts that Gigstarters reasonably incurs as a result of:

  • the Organiser’s acts or omissions;
  • Event cancellations;
  • Event delivery failures;
  • material Event changes;
  • supporter complaints;
  • regulatory investigations; or
  • breaches of these Terms or Platform Policies.

Gigstarters may recover such amounts through deductions, set-off, Credit Balance adjustments, payout withholding, direct recovery actions or any other lawful means.

Gigstarters may assume control of the defence or settlement of any matter subject to indemnification.

The Organiser must cooperate fully with Gigstarters in relation to any such matter.

The indemnity obligations contained in this section survive termination of these Terms and closure of the Organiser Account.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Gigstarters, its affiliates, directors, officers, employees, contractors, agents and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages arising out of or relating to:

  • the use of, or inability to use, the Platform;
  • Campaigns or Events;
  • Event cancellations, postponements or modifications;
  • actions or omissions of supporters, attendees, Organisers or third parties;
  • payment processing failures or delays;
  • chargebacks, disputes or refunds;
  • loss of profits, revenue, business opportunities, goodwill or anticipated savings;
  • loss of data;
  • unauthorised access to accounts;
  • platform interruptions, outages or security incidents; or
  • decisions made by Gigstarters in connection with reviews, investigations, enforcement actions or platform administration.

Gigstarters does not warrant or guarantee:

  • that the Platform will be uninterrupted, secure or error-free;
  • that Campaigns will confirm;
  • that Events will proceed as planned;
  • that supporters will purchase tickets;
  • that organisers will achieve any particular commercial outcome;
  • that payment processors will operate without interruption; or
  • that third-party services will remain available.

To the maximum extent permitted by applicable law, Gigstarters’ aggregate liability arising out of or relating to these Terms, the Platform, any Campaign, any Event or any Organiser Account shall not exceed the greater of:

(a) the total Platform Fees actually paid by the Organiser to Gigstarters during the twelve (12) months immediately preceding the event giving rise to the claim; or

(b) SGD $100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

16. Suspension and Termination

Gigstarters may suspend, restrict, disable or terminate any Organiser Account, Campaign, Event or access to the Platform at any time where Gigstarters reasonably determines that such action is necessary to:

  • enforce these Terms;
  • enforce Platform Policies;
  • investigate complaints;
  • investigate fraud or suspicious activity;
  • address safety concerns;
  • comply with legal or regulatory obligations;
  • protect supporters;
  • protect Gigstarters;
  • mitigate financial, operational, reputational or legal risks; or
  • address breaches of applicable laws.

Gigstarters may suspend Campaigns, Events, payouts, Credit Balances or Platform functionality while reviews or investigations are ongoing.

The Organiser remains responsible for all obligations arising prior to or after suspension or termination, including obligations relating to refunds, chargebacks, Event delivery, fees, recoveries and legal claims.

Gigstarters may retain records, transaction information, Event information, communications and account data following termination where reasonably necessary for legal, regulatory, operational, investigative or business purposes.

Gigstarters may immediately suspend or terminate an Organiser Account where the Organiser:

  • becomes insolvent;
  • enters liquidation, administration, receivership or similar proceedings;
  • ceases business operations;
  • is unable to meet its financial obligations; or
  • presents a material risk of non-performance.

Such action may be taken before a confirmed Event takes place.

 

Termination of an Organiser Account does not entitle the Organiser to any refund of fees previously charged or amounts previously deducted.

The rights and remedies available to Gigstarters under this section are cumulative and are in addition to any rights available under law, equity, Platform Policies or other agreements.

17. Privacy and Data Protection

Gigstarters may collect, use, disclose, process and store personal information in accordance with its Privacy Policy and applicable data protection laws.

The Organiser acknowledges that personal information relating to supporters, attendees and other users may be made available to the Organiser solely for purposes connected with the administration, fulfilment and operation of Campaigns and Events.

The Organiser must:

  • comply with all applicable privacy and data protection laws;
  • use personal information only for legitimate Event-related purposes;
  • maintain appropriate security measures;
  • prevent unauthorised access, disclosure or misuse of personal information; and
  • promptly notify Gigstarters of any actual or suspected data breach affecting information obtained through the Platform.

The Organiser must not:

  • sell supporter information;
  • transfer supporter information to unauthorised third parties;
  • use supporter information for unrelated marketing purposes;
  • create independent databases for purposes unrelated to Event fulfilment; or
  • use supporter information in a manner inconsistent with applicable law or these Terms.

Gigstarters may restrict, suspend or terminate access to supporter information at any time.

18. Force Majeure

Gigstarters shall not be liable for any delay, interruption, suspension, failure or inability to perform obligations arising from events beyond its reasonable control.

Such events may include:

  • natural disasters;
  • epidemics or pandemics;
  • public health emergencies;
  • acts of government or regulatory authorities;
  • war, terrorism or civil unrest;
  • labour disputes;
  • utility failures;
  • internet disruptions;
  • cyberattacks;
  • failures of payment processors;
  • failures of hosting providers; or
  • other events beyond Gigstarters’ reasonable control.

Gigstarters may suspend, modify, delay or discontinue Platform services where reasonably necessary due to such circumstances.

Nothing in this section obligates Gigstarters to compensate Organisers for losses arising from Force Majeure events.

19. Amendments

Gigstarters may modify these Terms from time to time.

Updated Terms may be published through the Platform or otherwise communicated to Organisers.

Continued use of the Platform following the effective date of updated Terms constitutes acceptance of the revised Terms.

Where required by applicable law, Gigstarters will provide reasonable notice before material amendments take effect.

If an Organiser does not agree to updated Terms, the Organiser must discontinue use of the Platform.

20. Assignment

Gigstarters may assign, transfer, delegate or otherwise dispose of any of its rights or obligations under these Terms without restriction.

The Organiser may not assign, transfer, delegate, sublicense or otherwise dispose of any rights or obligations under these Terms without Gigstarters’ prior written consent.

Any attempted assignment by the Organiser in breach of this section shall be void.

21. No Waiver

Failure or delay by Gigstarters in exercising any right, remedy or power under these Terms shall not constitute a waiver of that right, remedy or power.

Any waiver must be in writing and signed by an authorised representative of Gigstarters.

A waiver relating to one breach or circumstance shall not constitute a waiver of any other breach or circumstance.

22. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, severed from these Terms.

The validity, legality and enforceability of the remaining provisions shall not be affected.

The parties intend that any invalid, unlawful or unenforceable provision be replaced by a valid and enforceable provision that most closely reflects the original commercial intent of the parties.

23. Entire Agreement

These Terms, together with any Platform Policies, incorporated documents, applicable fee schedules and other documents expressly referenced herein, constitute the entire agreement between the parties relating to the Platform.

These Terms supersede all prior discussions, negotiations, understandings, representations and agreements relating to the same subject matter.

The Organiser acknowledges that it has not relied upon any statement, representation, promise or assurance not expressly contained in these Terms.

24. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore.

The parties submit to the exclusive jurisdiction of the courts of Singapore in relation to any dispute, controversy or claim arising out of or relating to these Terms, the Platform, any Campaign, any Event or any related matter.

Nothing in this section prevents Gigstarters from seeking injunctive relief, interim relief, recovery orders or other remedies in any jurisdiction where such relief is reasonably required to protect its rights or interests.

25. Survival

The following provisions shall survive suspension, termination, account closure, completion of an Event or expiration of these Terms:

  • Organiser Obligations and Event Delivery;
  • Payments, Fees, Payouts and Financial Adjustments;
  • Credit Balances and Set-Off Rights;
  • Platform Circumvention;
  • Intellectual Property;
  • Indemnities;
  • Limitation of Liability;
  • Privacy and Data Protection obligations;
  • Recovery rights;
  • Governing Law and Dispute Resolution; and
  • any provision which by its nature is intended to survive termination.

Survival of these provisions shall not limit any other rights or remedies available to Gigstarters under applicable law.
